Terms of Service

NoMoStaff helps you find structural bloat in an org chart and translate potential savings into enterprise-value uplift. By creating a workspace you agree to these terms. You own the data you upload, you’re responsible for having permission to upload it, and you use the findings to make your own decisions — we’re a decision-support tool, not your HR department.

NoMoStaff (“the Service”) is operated by [Legal Entity Name] (“we”, “us”). The Service ingests an organizational chart you provide, runs a rules engine and AI-powered analysis passes against it, and returns findings, scenarios, and reports.

These terms govern your access to and use of the Service, together with our Privacy Policy.

• You must be at least 18 years old to use the Service.
• By creating an account on behalf of an organization, you represent that you have authority to bind that organization to these terms.
• You’re responsible for keeping your password secure and for all activity under your account. Tell us promptly if you suspect unauthorized use.
• One human per account. You can invite teammates to your workspace once that feature ships.

You own the data you upload to NoMoStaff. Uploading it doesn’t give us ownership of it.

You grant [Legal Entity Name] a non-exclusive, worldwide, royalty-free license to host, store, process, and display your data solely to provide the Service to you. This license includes sending excerpts of your org chart to the third-party AI provider listed in our Privacy Policy. The license ends when you delete the data or your account, subject to the backup retention window described in the Privacy Policy.

You can export your data and delete your account at any time.

You agree that you will:

• Only upload data you have the authority to upload — your own organization’s data, or a client’s data where the client has authorized you to analyze it
• Use the Service’s outputs as input to your own decisions, not as a substitute for legal, HR, or financial advice
• Treat individual employees with dignity — don’t use NoMoStaff outputs to discriminate, harass, or retaliate against any individual

You agree that you will not:

• Attempt to access another customer’s workspace, reverse-engineer the Service, or probe it for vulnerabilities outside of a coordinated disclosure
• Use the Service to violate any law, infringe anyone’s rights, or transmit harmful or unlawful content
• Resell or sublicense the Service, or use it to build a competing product
• Use automated means to scrape or extract data from the Service beyond your own workspace

We may suspend or terminate accounts that violate this section.

The Service is provided on a best-effort basis. There is no service level agreement during the current preview period. We may add, change, or remove features at any time. If a change materially reduces functionality you rely on, we’ll give reasonable notice.

NoMoStaff is free during the current preview. If we introduce paid plans, we’ll give existing customers at least 30 days’ notice by email before any charge takes effect, and you can decline by downgrading or deleting your account.

You can stop using the Service and delete your account at any time. We can suspend or terminate your account if you materially breach these terms (including §4), if required by law, or if continuing to provide the Service to you is no longer commercially reasonable — with reasonable notice except in cases of abuse.

On termination, we delete your account and workspace data within 30 days, subject to the backup retention window described in the Privacy Policy.

Two of the three analysis passes are produced by a large language model (Anthropic’s Claude). AI output can contain errors, omissions, or judgments you disagree with. Treat the findings, strategic scan, and synthesis as starting points for your own review, not as authoritative recommendations. You are responsible for any decision you make based on them.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE FULLEST EXTENT PERMITTED BY LAW, [Legal Entity Name] DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or that any analysis it produces will be accurate or complete.

Nothing in the Service is legal, HR, accounting, tax, or financial advice. Decisions about people are yours.

TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUES, OR DATA, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE.

OUR TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE IS LIMITED TO THE GREATER OF (A) THE FEES YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) CAD $100.

These terms are governed by the laws of [Jurisdiction], without regard to conflict-of-laws principles. The courts located in [Jurisdiction] have exclusive jurisdiction over any dispute arising out of these terms, except that either party may seek injunctive relief in any court of competent jurisdiction.

We may update these terms from time to time. If we make material changes we’ll notify you by email at least 14 days before the changes take effect. Continuing to use the Service after the effective date means you accept the new terms.

• If any provision of these terms is found unenforceable, the rest remain in effect.
• Our failure to enforce a provision is not a waiver of the right to enforce it later.
• These terms (plus the Privacy Policy) are the entire agreement between you and [Legal Entity Name] regarding the Service.
• You can’t assign these terms without our consent; we can assign them to a successor entity in connection with a merger or sale.
